Randstad has over 50 years of experience in the area of HR Management. Under the Randstad Inhouse Services concept, Randstad becomes a full service supplier providing consultancy to international clients. For a temporary assignment in the Corporate Governance Department of our client, the company Philip Morris International, based in Lausanne, we are seeking for a:

Legal Analyst / Paralegal

100% - 12 months assignment


To provide professional assistance and support on various matters including intercompany agreements, corporate governance and housekeeping and the preparation and review of various corporate records and documents related to the Law Department and the Corporate Secretary group.

Specifically you will:

  1. Draft, review and execute certain corporate documents such as powers of attorney, certificates, board and shareholder minutes and resolutions, handle the electronic filings and the minute books.

  2. Coordinate with the different contact persons the registration process at the Commercial Registry and the legalization process for international documentation.

  3. Identify needs and support for continuous improvement of contract processes, policies and templates and support the team in planning and implementing improvements.

  4. Prepare, execute and administer a wide variety of agreements, contract amendments, and other contractual documents required in connection with the business actitivies of the Company. Maintain proprietary contract management database and administer and track contracts.

  5. Act as the primary contact and coordinate with outside counsel and internal finance departments to prepare and file board and shareholders meeting minutes and resolutions

  6. Act as primary contact for legal departments of affiliated companies worldwide and respond to requests for information, relating mostly to corporate governance and contract law.

  7. Maintain foreign qualifications and corporate records for US and Swiss affiliates. Interface with the tax department and finance departments to assure that financial statements, signatories, are up to date.

  8. Provide administrative support to the group including filings, maintenance of databases and digital platforms, office systems and procedures, coordination with other PMI functions and liaison with external contacts, such as notary or trade registry.

  9. Provide research support to the team including computerized research, analysis of documents an other information as needed.


Fluent in English and good knowledge of French

Legal background and familiarity with Swiss law, contracts, corporate governance and housekeeping

Strong interpersonal skills to work as a team-player and to effectively work with people of different seniority and diverse cultures

Minimum 1-3 years experience in a law firm, multinational corporation’s legal department or related area

Well-developed drafting skills as well as excellent written and oral communications skills in English

Ability to work on multiple tasks independently with minimal supervision, under time sensitive deadlines

Attention to detail, ability to prioritize and to work under pressure

Position requires a high degree of accuracy, accountability and ability to maintain confidentiality.
