Stellenbeschreibung

Randstad has over 55 years of experience in the area of HR Management. Under the Randstad Inhouse Services concept, Randstad becomes a full service supplier providing consultancy to international clients. For a temporary assignment one of our client, we are seeking for a:

 

Legal Analyst

100% - 12 months assignment

 

 

 

Specifically you will:

 

  1. Advise on legal matters relating mostly to corporate governance and contract law;

  2. Draft, review and execute corporate documents, such as powers of attorney, board and shareholder minutes and resolutions, handle the electronic filings and the minute books;

  3. Maintain foreign qualifications and corporate records and ensure that signing authorizations, powers of representation, company?s data and regulatory filings are up to date;

  4. Act as primary contact for legal departments of affiliates worldwide and respond to requests for information or assistance relating mostly to corporate governance and intercompany agreements;

  5. Provide administrative support to the group including filings, maintenance of databases and digital platforms, office systems and procedures; support the team in planning and implementing improvements to existing systems and repository platforms;

  6. Provide research support to the team including computerized research, analysis of documents and other information, as needed;

  7. Assist with drafting of intercompany agreements such as license agreements, sales agreements, services agreements.

  8. Position requires a high degree of accuracy, accountability and ability to maintain confidentiality.

 

Qualifikation

  • Fluent in English and French

  • Swiss law legal background and familiarity withcontract law, corporate governance, trade registry formalities and businessregistration processes; knowledge in finance and tax is a plus

  • Minimum 1-3 years experience in a law firm,multinational corporation?s legal department or equivalent environment

  • Well-developed drafting skills as well asexcellent written and oral communications skills in English and French

  • Ability to communicate effectively andindependently with multiple clients

  • Ability to work on multiple tasks independentlywith minimal supervision, under time sensitive deadlines

  • Excellent organizational skills required forhandling large volume of work with attention to detail. Attention to detail,ability to prioritize and to work under pressure.
